PRICES VS. TERMS

SPECIFIC OBJECTIVES

Especially in the case of a seller, a clear list of specific objectives should first be identified. These near and long term goals should consist of both the personal objectives of the owner as well as the company.

Price and terms are always present in every discussion.  The two usually counterbalance each other. For instance, an offer of $1BILLION  for your company would likely appear to be a very attractive price.  However, if the terms are $1,000 in cash at closing and the other $999,999,000 will be paid in 50 years at no interest, then the "price" seems to have lost its appeal.

 

That is an extreme example to make the point why it is necessary to have alternative deal structures and specific objectives well-defined before discussions or negotiations begin.

Additionally, and especially in the case of the seller, the company to be sold should have been thoroughly analyzed with alternative valuations (based on alternative deal structures) performed prior to initiating discussions with the buyer.

Oftentimes, the owners of companies with annual revenues less than $100 million simply respond to an unsolicited offer to buy their company. This procedure puts the seller at a distinct disadvantage. The selling company finds itself always responding to the buyer's objective as opposed to initiating discussions which would have the buyer respond to the seller's objectives.
